subsidy password with unlock ATT razr phone

My cousin signed up with ATT and gave me his ATT unlock razr,  when I removed my sim card from my old ATT phone and insert into the razr, it asked for a subsidy password.  I don't understand it since the phone is unlocked.  I'd went to ATT office and they told me I have an old sim card and required a new contract so they can give me a new sim card, I didn't want to do that, since my old plan was much cheaper.  What can I do to use the razr with my old sim?

You should still be able to get a replacement sim on the same account.

Yes, I can replace the sim card, except they (ATT) wants me to sign up for new plan, eventhough I am currently an ATT customer.  My old plan was cheaper and they want me to upgrade to a current plan which is much more expensive.  I don't even know if I buy another sim card outside of ATT whether they will activate it for me.

What Yoni says is correct - they should be bound to give you a duplicate sim with the same package unless it somewhere in the terms of your origional contract says otherwise

Nope, they (ATT) refused to give me a new sim card for the Razr because they claimed that my account is too old and required upgrade.

 So if you were to loose your phone, they would expect you to take out a new contract?

Yes, because I have the original old ATT contract before they were sold to Cingular and back to ATT.  So they want me to upgrade my contract (so they can make more $$).  I'd refused to pay additional $20 US to my current contract when I already have a better deal now (more minutes and $20 cheaper).  Thats the reason why I want to know if there is a way to have my old sim card work with the new razr phone.
